Dataset License Agreement

Version 1.0 | Effective Date: January 5, 2026

This Dataset License Agreement ("License") governs your use of any dataset provided by Meridian Veil ("Licensor").

1. License Grant

Subject to payment and compliance with this License, Licensor grants you a non-exclusive, non-transferable, non-sublicensable license to use the dataset for internal business or organizational purposes.

2. Permitted Uses

You may:

• Use the dataset for internal research, analysis, enrichment, or reporting
• Integrate the dataset into internal systems
• Use outputs or insights derived from the dataset

You may distribute analytical results, but not the dataset itself.

3. Prohibited Uses

You may not:

• Redistribute, resell, sublicense, or share the dataset
• Publish the dataset publicly (in whole or substantial part)
• Offer the dataset as part of a competing product or service
• Use the dataset to build or train a data resale, lead generation, or enrichment product
• Remove attribution, metadata, or embedded identifiers
• Circumvent download limits or access controls

4. Authorized Users

Use is limited to:

• Your organization
• Employees and contractors acting on your behalf

Access by unrelated third parties is prohibited unless explicitly licensed.

5. Dataset Updates

Unless explicitly stated:

• Purchases grant access to the dataset version available at time of purchase
• Updates, refreshes, or future versions are not included

Optional Data Stewardship plans may include quarterly updates for a specified term.

6. Data Sources and Accuracy

Datasets may include data derived from:

• Public records
• Third-party sources
• Proprietary aggregation and transformation

Licensor does not guarantee:

• Accuracy
• Completeness
• Timeliness
• Fitness for regulatory or compliance use

You assume responsibility for verifying information before use.

7. Ownership

Licensor retains all rights, title, and interest in:

• Dataset structure
• Compilation
• Enhancements
• Derivative dataset versions

This License does not transfer ownership.

8. Digital Fingerprinting

Each dataset export may contain unique, invisible identifiers tied to your account for compliance monitoring and misuse detection. Removing or altering these identifiers is prohibited.

9. Audit and Enforcement

Licensor reserves the right to:

• Monitor usage for abuse
• Investigate suspected violations
• Suspend or terminate access for breach

10. Compliance with Laws

You agree not to use the Data to violate CAN-SPAM, CCPA, TCPA, GDPR, or applicable laws. You are solely responsible for your use of the data in compliance with all applicable regulations.

11. Termination

This License terminates automatically upon:

• Breach of terms
• Unauthorized redistribution
• Non-payment

Upon termination, you must:

• Cease use
• Delete all copies of the dataset

12. Limitation of Liability

Licensor's total liability shall not exceed the amount paid for the dataset giving rise to the claim.

13. Governing Law

This License is governed by the laws of the State of Wyoming.
